M&A 담당이잖아."

Sujin was in no hurry.

Buy the shares all at once and a disclosure goes out, and once a disclosure goes out the defenses come up. So she gathered them a little at a time, over four months.

What Dogyeong had told her was of use here as well.

*"There is one hole in the **ownership** structure at Taesan."*

Employee shares and partner-company shares handed out in the early years had sat untouched for more than twenty years. The Chairman's family watched only its own holdings and never managed the rest, which lay scattered.

Sujin bought up those scattered pieces one at a time. Most of the holders wanted to sell — it was a stock that paid almost no **dividend**.

The day the **disclosure** went out, Taesan Group was in an uproar.

The Chairman's office.

"Reset Partners? What is this, where did it come from."

The Chairman flung the papers down.

"A consulting firm set up last year. It started with capital of fifty million won, but..."

"How does a fifty-million-won outfit buy fourteen percent of us?"

"It looks as though foreign money came in. The source of the funds is still being checked."

Jihoon, seated beside him, did not say a word.

*The source of the funds.*

Jihoon knew exactly where that money had come from: the forty-eight billion won that had drained out of his own account.

"It says the purpose is participation in management. What is it they mean to do."

"They will demand the appointment of directors. It is a stake large enough to call an extraordinary general meeting as well."

The Chairman looked at Jihoon.

"You look into it. M&A is your area, is it not."

"...Yes."

Jihoon answered shortly.

*Lee Sujin.*

The name he had hauled up out of a basement five years ago was closing around his own throat now.

The day after the demand to call an extraordinary general meeting was filed.

A **preliminary** session opened in the large conference room at Taesan Holdings headquarters.

Sujin arrived on time.

When the door opened and she stepped into the room, everyone already seated turned their heads at once.

> **[Attendees]**
>
> | Organization | Position |
> |---|---|
> | Taesan Holdings | Head of the Strategic Planning Division (Jihoon) |
> | Taesan Holdings | Head of Legal Affairs |
> | Taesan Holdings | Head of Investor Relations |
> | Reset Partners | CEO (Sujin) |

She could see Jihoon's face harden.

Sujin sat down with no expression at all.

"It has been a long time, Director."

She was the first to greet him, and her voice was calm.

"...It has been."

Jihoon barely got the words out.

The head of legal affairs watched the two of them and asked.

"Do the two of you know each other?"

"We worked together once, some time ago."

Sujin answered evenly.

"He is the one who brought me in. Even the fact that I am sitting here now is, when you trace it back, thanks to the Director."

A vein stood out at Jihoon's temple.

"Let us get to the point."

Sujin took out a document.

> **[Shareholder Proposals]**
>
> | No. | Item |
> |---|---|
> | 1 | Appointment of two outside directors |
> | 2 | Special audit of overseas transactions over the past five years |
> | 3 | Disclosure of how the Strategic Planning Division has spent its funds |

The head of legal affairs ran an eye over the document and stopped.

"Numbers two and three are a little..."

"They are within what a shareholder may ask for. The head of legal affairs would know that better than I do."

Sujin's eyes moved to Jihoon.

"Number three especially, I do have to see. There are a lot of companies these days that manage their overseas accounts badly."

The blood went out of Jihoon's face.

"...What do you mean by that."

"Exactly what I said. If you do not manage a thing, somebody else takes it."

For a moment the room went quiet. The others could not make out what was passing between the two of them.

Sujin rose from her seat.

"Look it over and get back to me. Three weeks until the general meeting."

Jihoon came out after Sujin as she left the conference room.

"Lee Sujin."

Sujin stopped where she was.

"This is your doing."

"What is."

"Do not play innocent. Forty-eight billion won."

Sujin turned around slowly.

"Then report it."

"..."

"You cannot. Because you would have to explain where that money came from."

Jihoon's jaw hardened.

"What was it you said to me five years ago. That leaving talent like you to rot in this shabby basement was too great a waste for Korean capitalism."

Sujin looked Jihoon straight in the face.

"You were right. I learned a great deal, thanks to you."

"Do you even know what it is you are about to do?"

"I do."

Sujin answered shortly.

"And there is one thing I want to ask."

"..."

"Managing Director Kang Moyeon. Did she get her share of it?"

It was a **jab**, and not a question which expected an answer.

But Jihoon's eyes wavered, just barely.

*...What was that. That reaction.*

Sujin did not miss that waver.
